1. Parties and subject matter
These terms govern the use of the TDACRM service: the app.tdacrm.eu application, the websites and related services (the “Service”). The Service is provided by SERVICII AMPLE S.R.L., IDNO 1016605002030, registered office at str. Voluntarilor 13, s. Străisteni, mun. Chișinău, Republic of Moldova (the “Provider”, “we”).
The “Customer” is the business, professional or organisation that creates an account and uses the Service. “Users” are the people the Customer invites into its account. The Service is intended only for businesses and professionals and is not offered to consumers.
By creating an account or using the Service, the Customer accepts these terms, the Privacy policy and the Data processing agreement, which form part of the contract. Whoever accepts the terms confirms they are authorised to act for the Customer.
2. Account
- The details given at sign-up must be correct and kept up to date.
- The Customer is responsible for the Users it invites, the permissions it gives them and everything that happens in its account.
- Sign-in credentials are personal. If you suspect unauthorised access, tell us straight away at [email protected].
3. Free trial
Every new account gets a 14-day free trial, with no card. At the end of the trial the Customer chooses a plan. Otherwise access to the account is suspended, and the data is kept for 30 more days and then deleted.
4. Plans, prices and payment
- The plans, their limits (users, pipelines) and the prices shown on the website and in the application at the time of ordering apply. Prices are in euros.
- Prices are exclusive of taxes. Customers based outside the Republic of Moldova are not charged VAT; where VAT is due, the Customer accounts for it in its own country (reverse charge).
- The subscription is paid in advance, for one month or one year. The yearly subscription costs the same as 10 months.
- Payment is by card, renewed automatically at the start of each period, or by bank transfer against a proforma invoice.
- Add-ons, such as connected WhatsApp numbers, are invoiced separately at the stated prices.
- Upgrading to a higher plan applies immediately; for the current period only the difference is paid. Downgrading is possible only if the account’s usage fits within the limits of the new plan; the difference is credited on the next invoice.
- If payment is not made when due, we may suspend access after giving notice. No data is lost during the suspension.
5. Price changes
We may change prices for future periods, giving the Customer at least 30 days’ notice by email or in the application. A period already paid for does not change.
6. Cancellation and refunds
Card payments are processed by Paddle.com, our authorised reseller and Merchant of Record; for these orders Paddle’s buyer terms also apply. Bank transfer is available only to Customers based in the Republic of Moldova. Any payment can be refunded in full within 14 days of the payment date, without giving a reason; after 14 days payments are not refunded. The Customer can cancel the subscription at any time under Settings → Subscription: it stays active until the end of the paid period and is not renewed. The details are in the Refund policy.
7. Acceptable use
The Customer and its Users agree to:
- use the Service lawfully, in particular in line with data protection and electronic marketing rules (in the UK, PECR);
- have a legal basis for the data they upload and the messages they send, for example the consent of the people they contact on WhatsApp or by email;
- follow the rules of the connected platforms (Meta, WhatsApp, telephone operators);
- not send spam and not upload unlawful content or malicious software;
- not get around plan limits, probe for vulnerabilities or overload the Service;
- not copy, resell or decompile the Service.
We may suspend access that breaks these rules. Where possible, we warn the Customer first and give it time to put things right.
8. Customer data
- The data the Customer uploads (leads, contacts, messages, files) remains the Customer’s. We use it only to provide the Service.
- For personal data in the CRM, the Customer is the controller and we are the processor, under the Data processing agreement.
- The Customer can export its data at any time while the account is active and for 30 more days after the contract ends. After that the data is permanently deleted, including from backups, in their normal cycle.
- We may use aggregated, anonymous statistics about how the Service is used to improve it. They don’t identify the Customer or any person.
9. Integrations with other services
TDACRM connects to third-party services: Facebook Lead Ads, WhatsApp, email, VoIP telephony. Their use is governed by their providers’ terms. We are not responsible for their availability, the changes they make, or a provider blocking the Customer’s account.
10. Availability and support
We make reasonable efforts to keep the Service available at all times. There may be interruptions for maintenance, which we try to schedule outside business hours and announce in advance, as well as unplanned interruptions. Support is provided by email at [email protected] on business days.
11. Intellectual property
The Service, the software, the design and the TDACRM brand belong to the Provider. For the duration of the subscription the Customer has a non-exclusive, non-transferable right to use the Service for its business. We may use the Customer’s suggestions about the Service freely, without any obligation to the Customer.
12. Liability
- The Service is provided “as is”. We don’t guarantee that it is completely error-free or fit for every purpose.
- We are not liable for indirect damage: loss of profit, loss of clients, data loss caused by the Customer, or business interruption.
- Our total liability for all claims is limited to the amounts the Customer paid in the 12 months before the event.
- These limits don’t apply in cases of intent or gross negligence, or where the law does not allow them.
13. Term and termination
The contract starts when the account is created and runs for as long as the account exists. The Customer can terminate at any time by closing the account. We can terminate with 30 days’ notice, or immediately if the Customer seriously breaches these terms and doesn’t put it right after being warned.
14. Changes to the terms
We may update these terms. We tell the Customer about important changes at least 30 days in advance. If the Customer doesn’t agree, it can terminate the contract before the new terms take effect; continuing to use the Service means accepting them.
15. Governing law and jurisdiction
The contract is governed by the law of the Republic of Moldova. We first try to settle any dispute amicably; if that fails, the dispute goes to the competent courts of the municipality of Chișinău. The terms are available in several languages; if they differ, the Romanian version prevails.
